1. Agreement to Terms

These Terms of Service (“Terms”) govern your use of Naizz.io, a product of Zanite, Inc. (“Zanite,” “we,” or “us”). By accessing or using Naizz.io, you agree to these Terms. If you do not agree, do not use the Platform.

2. Eligibility

You must be at least 13 years old (or 16 in the EU) to use Naizz. If you are under the age of majority in your jurisdiction, you may use Naizz only under the supervision of a parent or legal guardian.

3. Account Registration

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately if you suspect unauthorized access.

4. License & Use

Zanite grants you a limited, non-exclusive, non-transferable, revocable license to access and use Naizz for personal, non-commercial educational purposes.

You agree not to:

  • Reverse engineer, modify, or copy any portion of Naizz;
  • Use the Platform to violate applicable laws;
  • Upload harmful, illegal, or infringing content;
  • Interfere with or disrupt the Platform’s integrity or performance.

5. Intellectual Property

All rights, titles, and interests in Naizz, including its software, AI models, audio feedback systems, content, and trademarks, are owned by Zanite, Inc. or its licensors. Users retain ownership of their own submitted audio, text, and other materials but grant Zanite a worldwide, royalty-free license to process, analyze, and improve the Platform.

6. Payment & Subscriptions

Some features may require a paid subscription. By purchasing a subscription, you agree to our pricing and payment terms as displayed on Naizz.io. All fees are non-refundable unless required by law.

7. AI Features & Disclaimers

Naizz uses artificial intelligence to simulate conversations, evaluate pronunciation, and provide learning feedback. While we strive for accuracy, AI outputs may not always be error-free or contextually appropriate. Naizz is intended for educational use only and not for translation accuracy or professional interpretation.

8. Termination

We may suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or unlawful behavior. You may also terminate your account at any time.

9. Limitation of Liability

To the fullest extent permitted by law, Zanite, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of Naizz. Our total liability shall not exceed the amount you paid (if any) in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Zanite, Inc. and its officers, directors, and employees from any claims, losses, or expenses arising from your use of the Platform or violation of these Terms.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, U.S.A., and you consent to their jurisdiction.

12. Changes to Terms

We may revise these Terms from time to time. The updated version will be posted on Naizz.io with a new “Effective Date.” Continued use constitutes acceptance of the revised Terms.
